Korn Ferry has partnered with our client in their search for an Interim Corporate Governance Counsel for a bitcoin mining / digital infrastructure company.
Responsibilities
- Draft, review, and maintain corporate governance documents, including board consents, shareholder consents, resolutions, minutes, secretary certificates, and officer/director updates.
- Manage entity maintenance and corporate records, including annual reports, registered agent coordination, foreign qualifications, minute books, ownership records, and entity charts.
- Support the General Counsel with corporate structuring, financings, M&A diligence, post-closing records, UCC filings, and governance process improvements.
Skills Required
- Strong corporate governance and entity management experience, ideally with private companies, growth businesses, infrastructure, energy, data center, or asset-heavy companies.
- Experience preparing board/shareholder approvals, resolutions, minutes, secretary certificates, corporate records, annual reports, and entity filings.
- Ability to work independently with a GC, organize corporate records, build practical governance processes, and support a fast-moving business.
Education & Work Experience
Degree
JD required; active bar admission preferred.
Work Experience
Prior corporate governance, entity management, corporate secretary, or general corporate legal experience required. Experience with private company governance, financings, M&A diligence, corporate restructurings, cap tables, UCC filings, or legal operations is strongly preferred.
