Compensation: $150-$200 per hour; W2 or C2C through the consultant's own LLC

Korn Ferry is recruiting on behalf of a confidential publicly traded advanced technology company serving government and commercial customers across highly technical and regulated industries, including defense, space, energy, financial services, and telecommunications.
The company is in a period of strategic growth and requires immediate transactional legal support within its lean, fast-moving legal department.
Position Summary
The Interim Senior M&A and Commercial Transactions Counsel will provide immediate support to the Chief Legal Officer and broader legal team across M&A transactions and commercial legal matters.
This is a hands-on execution role for an experienced transactional attorney who can step in quickly, take ownership of assignments, and independently manage matters with limited supervision. The consultant must be comfortable balancing active transactions, commercial agreements, and other strategic legal projects while providing practical, business-focused advice to senior leaders.
Key Responsibilities
- Independently manage and support M&A transactions from initial evaluation through signing and closing.
- Conduct and manage legal due diligence, including issue identification, escalation, and coordination of diligence workstreams.
- Draft, review, and negotiate transaction documents and related ancillary agreements.
- Coordinate transaction workstreams with internal stakeholders and outside counsel.
- Manage closing checklists, approvals, deliverables, and post-closing matters.
- Support transaction integration planning and implementation as needed.
- Draft, review, and negotiate commercial agreements, including strategic partnership, vendor, customer, licensing, and other business arrangements.
- Identify legal and business risks and translate them into practical recommendations.
- Manage multiple legal and commercial projects while maintaining momentum against transaction deadlines and business priorities.
Required Qualifications
- Significant M&A experience with clearly demonstrated ability to independently execute transactions.
- Experience across the full transaction lifecycle, including diligence, drafting, negotiation, signing, closing, and post-closing matters.
- Strong commercial contracting experience across a range of business agreements.
- Ability to manage multiple legal and commercial workstreams simultaneously.
- Practical, business-oriented approach to legal risk and strong judgment under time pressure.
- Experience working directly with chief legal officers, senior business leaders, internal stakeholders, and outside counsel.
- Comfort operating in a lean, fast-moving legal department with limited supervision.
- Active state bar membership in good standing.
- Immediate or near-immediate availability.
- Ability to commit approximately 20-40 hours per week and increase availability around active transactions, deadlines, and closings.
- Willingness and ability to work onsite or hybrid in the Denver/Boulder market. Onsite availability is strongly preferred.
Preferred Qualifications
- Public-company legal experience.
- Experience in technology, semiconductors, quantum computing, aerospace, defense, or another deep-technology industry.
- Experience with strategic investments, joint ventures, or technology acquisitions.
- M&A integration experience.
- Cross-border transaction experience.
- Experience with intellectual property, technology licensing, or strategic partnership agreements.
- Exposure to securities, corporate governance, or financing matters.
- Experience working with government contractors or regulated technology companies.
Schedule and Work Expectations
The consultant should be available during normal business hours for meetings and stakeholder engagement. The workload is expected to range from approximately 20 to 40 hours per week, with flexibility required around active transactions, critical deadlines, and closings.
The client strongly prefers an attorney who can work onsite in the Denver/Boulder area. A hybrid arrangement may be considered for a highly qualified candidate.

- Follow-up discussion with an additional legal or business stakeholder, if needed.
- Rapid selection, conflict clearance, and onboarding.
