We have partnered with our client in their search for an Interim Senior Counsel, Energy Infrastructure & Commercial Contracts.

Responsibilities

  • Review, draft, revise, and negotiate a high volume of commercial agreements tied to energy infrastructure, project development, equipment procurement, vendor services, land work, leases, and operational buildout.
  • Help the legal team triage and reduce a backlog of business-critical agreements in a fast-moving, high-growth environment.
  • Support contracts related to power generation, grid infrastructure, utility arrangements, equipment, vendors, services, construction-adjacent work, real estate/site control, and infrastructure development.
  • Identify and escalate key legal and business risks, including indemnity, limitation of liability, warranties, insurance, performance obligations, delay, termination, confidentiality, and operational dependencies.
  • Partner with the General Counsel, Deputy General Counsel, paralegal support, and internal business stakeholders to move agreements efficiently through review and execution.

Skills Required

  • Strong commercial contracting experience, including vendor agreements, services agreements, equipment purchase agreements, procurement contracts, leases, land-related agreements, or project-development agreements.
  • Experience supporting energy, infrastructure, utilities, power generation, data centers, construction, industrial projects, or real estate development.
  • Ability to quickly triage a backlog of agreements and provide practical, business-oriented legal support with limited ramp-up time.
  • Strong issue-spotting, drafting, negotiation, and communication skills.
  • Comfortable working independently in a lean legal team and escalating only material legal or business risks.
  • Availability to work remotely during Texas business hours.

Education & Work Experience

  • J.D. from an accredited law school.
  • Active bar membership in good standing.
  • Significant experience reviewing, drafting, and negotiating commercial contracts.
  • Prior in-house, interim, fractional, or consulting counsel experience preferred.
  • Experience with energy infrastructure, power generation, utility, grid, data center, construction, equipment procurement, or large-scale real estate/project development strongly preferred.
