We have partnered with our client in their search for an Interim General Counsel based in-person in their Pasadena, CA office.
About the Opportunity
Our client operates multi-site clinical offices in the US and is being sold to a private equity strategic buyer. An Interim GC is needed to guide the company through the acquisition, manage outside counsel, and support all legal functions through close and the transition to new ownership.
Responsibilities
- Guide the company through the private equity acquisition from diligence through close
- Manage outside counsel across all legal workstreams
- Support all of the company's legal functions during the transaction
- Lead and oversee the Legal Due Diligence (LDD) process
- Negotiate and advise on key deal terms; partner with outside counsel on drafting
- Advise the Board and investment committee on transaction risk and strategy
- Assist with transition to new ownership post-close
Required Experience
- Healthcare industry experience (in-house or law firm)
- Private Equity experience - purchase/sale transactions, sponsor-side or target-side
- Board exposure - experience advising boards or investment committees on transactions
- Deal exposure - proven ability to discuss key transaction terms in depth, with strong drafting and negotiation foundations from early career
- LDD process fluency - knows the legal due diligence process end-to-end
- Risk leadership - big-picture risk assessment with professional, constructive, and creative solutions to mitigate risk
- In-person presence required in Pasadena, CA
Education & Professional Background
- Juris Doctor (J.D.) required
- 10+ years of legal experience with a strong focus on M&A and complex corporate transactions
- Legal leader from a top law firm or senior in-house executive with PE purchase-and-sale experience in healthcare preferred
- Proven experience managing outside counsel in M&A
