Position Overview

Our client is seeking a senior In-House Counsel, Corporate Finance to support financing activities, strategic growth initiatives, governance matters, and corporate transactions across the organization. This role will partner closely with executive leadership on fundraising, investor-related matters, and broader strategic corporate initiatives.

This opportunity is ideal for a highly business-oriented attorney who combines strong corporate finance and venture-growth experience with the ability to operate effectively in a modern AI-native legal environment.

Key Responsibilities

  • Support corporate finance transactions, fundraising initiatives, and strategic growth activities
  • Draft, review, and negotiate financing documents, investment agreements, governance materials, and related corporate documentation
  • Assist with venture financing, strategic investments, capitalization matters, and investor-related legal support
  • Support board governance, subsidiary structuring, and intercompany legal matters across multiple business entities
  • Advise executive leadership on financing structures, legal risk, governance matters, and strategic business initiatives
  • Coordinate with outside counsel, investors, and external stakeholders as needed
  • Support broader strategic transactions and corporate initiatives within a fast-paced growth environment
  • Utilize AI-native legal workflows and technology-enabled legal operations to improve efficiency and execution

Qualifications

  • Juris Doctor (JD) from an accredited law school
  • Active U.S. bar membership in good standing
  • 10+ years of experience practicing corporate finance, venture financing, strategic corporate, or related transactional law
  • Significant experience supporting growth-stage companies, venture-backed organizations, or strategic financing transactions
  • Experience operating within fintech, AI, SaaS, financial services, or startup environments
  • Demonstrated experience utilizing AI-native legal workflows and modern legal technology tools in legal practice
  • Strong drafting, negotiation, governance, and executive communication skills
  • Ability to work autonomously within a lean, high-performance legal team

Preferred Qualifications

  • Prior in-house counsel experience
  • Experience supporting venture-backed or emerging growth companies
  • Fintech, wealth management, AI, or financial services industry experience
  • Experience working directly with executive leadership and strategic business teams

Position Details

  • Contract (3 Months to Start + Option to Extend)
  • Remote
  • Compensation: $100-$125anHR W2
  • Commitment: 40 Hour Work Week, Monday to Friday, Standard Daytime Hours
  • Reports directly to the COO & General Counsel
