Executive Advisor - M&A Technology

Position Summary:
We are seeking a distinguished Executive Advisor to lead and guide the strategic decoupling of enterprise technology assets in support of a high-stakes corporate divestiture. This role is pivotal in architecting the separation of integrated technology platforms, infrastructure, and data ecosystems across business units. The ideal candidate will bring top-tier consulting pedigree (Big 4 or equivalent, e.g., McKinsey, Bain, BCG) and a proven track record advising publicly traded enterprises with revenues exceeding $1B through complex transformation and separation initiatives.
 
Key Responsibilities:
- Serve as a trusted advisor to executive leadership, shaping the strategic blueprint for technology separation in alignment with corporate restructuring objectives.
- Conduct comprehensive assessments of enterprise architecture, identifying interdependencies across platforms, applications, and data flows.
- Design and oversee the execution of a scalable, secure, and compliant separation roadmap, encompassing infrastructure, cloud environments, cybersecurity, and digital operations.
- Partner with legal, finance, and operational stakeholders to define transitional service agreements (TSAs), intellectual property delineation, and data governance frameworks.
- Provide executive-level insights on risk mitigation, cost optimization, and long-term technology enablement for both parent and spin-out entities.
- Support board-level communications and investor-facing narratives related to the technology strategy underpinning the divestiture.
Ideal Candidate Profile:
- 20+ years of experience in enterprise technology strategy, digital transformation, or corporate restructuring.
- Demonstrated leadership in technology separation or divestiture programs for publicly traded, multi-billion-dollar organizations.
- Background with a Big 4 consultancy or a global strategy firm (McKinsey, Bain, BCG) with exposure to board-level advisory engagements.
- Deep expertise in enterprise systems architecture, cloud modernization, cybersecurity, and data governance.
- Exceptional executive presence, with the ability to influence C-suite stakeholders and navigate complex organizational dynamics.
- Advanced degree preferred (MBA, MS in Information Systems, or related discipline).
Preferred Experience:
- M&A advisory, IPO readiness, or post-merger integration.
- Familiarity with regulatory frameworks impacting technology separation (e.g., SOX, GDPR, HIPAA).
- Experience in high-growth or innovation-driven sectors (e.g., SaaS, healthcare, fintech, industrials).
