Interim Assistant General Counsel / Senior Counsel, Securities & Corporate Governance
Responsibilities
Advise on Securities Act and Exchange Act compliance, including periodic reporting, disclosure controls and procedures, and ongoing public company obligations following the company's recent de-SPAC transaction and NYSE listing.
Support the preparation and review of SEC filings, board and committee materials, resolutions, minutes, and related corporate records and governance documentation.
Partner with the CLO, finance, and outside counsel on corporate governance, equity-related matters, disclosure issues, and general corporate housekeeping in a newly public company environment.
Skills Required
Strong experience with SEC reporting, securities law compliance, and corporate governance for a public company or recently public business.
Ability to operate independently in a lean legal department and manage sensitive matters with limited oversight.
Sound judgment on disclosure, board governance, and public company risk matters in a fast-moving environment.
Education & Work Experience
Degree
J.D. from an accredited law school; active bar membership preferred.
Work Experience
Relevant in-house and/or law firm experience supporting SEC reporting, disclosure, corporate governance, and related securities matters.
Experience advising a newly public company, including post-transaction public company compliance, is strongly preferred.
