Our client is seeking an experienced Remote Interim Counsel, Commercial Transactions to support a fast‑paced, technology‑driven organization. This attorney will serve as a key partner to the Chief Legal Officer and cross‑functional business teams, owning the end‑to‑end negotiation and execution of complex commercial agreements. The ideal candidate brings deep in‑house experience supporting software and technology businesses, with the ability to manage a high volume of sophisticated contracts while providing practical, business‑minded guidance. This role is well‑suited for someone who thrives in a lean legal environment, is comfortable operating autonomously, and excels at streamlining processes, enhancing templates and playbooks, and driving deals to completion efficiently.

Responsibilities

  • Draft, review, and negotiate sophisticated commercial agreements, including customer, vendor, licensing, SaaS/software, services, confidentiality, and strategic partnership agreements

  • Advise on core technology transaction terms, including indemnification, limitation of liability, intellectual property, software licensing, data rights, confidentiality, warranties, and termination provisions

  • Partner with the CLO and business stakeholders to quarterback deals from intake through execution and help improve templates, playbooks, and contracting processes in a lean legal environment

Skills Required

  • Significant experience drafting, reviewing, and negotiating complex commercial contracts in-house

  • Strong background supporting technology companies, including software, SaaS, licensing, product, services, and strategic commercial arrangements

  • Ability to work independently, manage heavy deal flow, and provide practical legal advice to sales, procurement, product, finance, and executive stakeholders

Education & Work Experience

Degree

  • J.D. from an accredited law school; active bar membership preferred

Work Experience

  • Relevant in-house and/or law firm experience supporting commercial transactions and technology agreements, preferably within the technology industry or other high-growth business environments
